The Associate General Counsel (part-time) provides legal counsel to UPG, its clinical departments and its wholly owned subsidiaries, and serves as an in-house legal advisor for the organization.
In addition, the incumbent independently handles large and complex legal assignments.
This will be a hybrid position with some work done remotely (i.
e.
, from home) and some in-office; however, the chosen candidate must relocate to or currently reside within the Commonwealth of Virginia.
PRINCIPAL DUTIES AND RESPONSIBILITIES: Essential Functions of the job may include: Provides general legal advice to the UPG Administrative Unit and Clinical Departments.
Provides specific legal support to UPG Administrative Unit and Clinical Departments, such structuring of new business ventures and clinical outreach activities, human resources/employment, and real estate/facilities.
Drafts, reviews, and revises legal documentation for a variety of matters, including, but not limited to contracts and amendments, legal correspondence, and pleadings.
Works with members of Medical Center and School of Medicine staff to achieve specific Health System initiatives.
Confers with company officers and other legal counsel on a variety of legal matters.
Provides advice and renders opinions to management with respect to the legal implications involved in establishing or changing company policy.
Works with representatives from various departments on developing and modifying practices and procedures to conform to legal and regulatory requirements.
Supports and participates in various UPG Teams, including assuming leadership roles, as assigned.
Completes other assignments as assigned by the UPG General Counsel.
REQUIRED QUALIFICATIONS (Knowledge, Skills & Abilities): Education: Bachelor’s degree and Law degree with strong academic credentials.
Either active Virginia law license or Virginia Corporate Counsel registration within one year.
Experience: At least three years of corporate law experience to include: working knowledge of federal and state health care and insurance laws and regulations working knowledge of and some experience with business transactions, such as joint ventures and clinical services agreements experience in a tertiary-care and/or large academic/teaching health care institution and/or multi-specialty group practice preferred but not required.
Knowledge and skills: Basic knowledge of and experience utilizing a personal computer.
Intermediate word processing and spreadsheet skills required.
SUPERVISORY RESPONSIBILITIES: No formal supervision, but will lead and direct the work of others including a corporate paralegal WORKING CONDITIONS: General fast-paced office environment.
COMPETENCIES: Organizational awareness: Having and using knowledge of systems, situations, procedures, and culture inside the organization to identify potential problems and opportunities; analyzing the impact and implications of decisions regarding other components of the organization.
Customer focus: Knowing the (internal and external) customer business needs and acting accordingly; anticipating customer needs, and giving high priority to customer satisfaction and customer service.
Negotiating: Exploring alternatives by means of persuasion to reach favorable outcomes in situations where decisions involve other parties.
